1. Insurance and Liability

1.1 Members are solely responsible for maintaining appropriate and adequate insurance coverage for their operations, including but not limited to public liability insurance, professional indemnity insurance, employers' liability insurance, and equipment insurance, in accordance with applicable law and industry standards.

1.2 Members must maintain insurance coverage meeting or exceeding the minimum levels specified by BADO from time to time. BADO may request evidence of insurance at any time.

1.3 BADO does not provide, arrange, or maintain insurance on behalf of members.

1.4 BADO acts only as a coordinator and facilitator of commercial opportunities. It is not an insurer, employer, principal, or guarantor of member performance.

1.5 Members must ensure that valid insurance remains in place throughout their membership. BADO may suspend or terminate membership immediately if insurance coverage lapses or is deemed inadequate.

1.6 BADO accepts no liability for any loss, damage, injury, or claim arising from a member's operations, services, or activities.

2. Member Obligations

As a member of BADO, you agree to:

2.1 Maintain all licences, certifications, and regulatory approvals required to operate drones commercially in the UK, including CAA permissions and operational authorisations.

2.2 Comply with all applicable UK laws and regulations governing unmanned aviation, including but not limited to the Air Navigation Order and CAA regulations.

2.3 Maintain professional standards in all work undertaken, whether secured through BADO or independently.

2.4 Respond promptly (within five working days unless otherwise stated) to contract opportunities offered by BADO and communicate clearly regarding availability and capability.

2.5 Provide accurate and up-to-date information regarding your qualifications, equipment, experience, and insurance coverage.

2.6 Notify BADO immediately of any changes to your regulatory status, insurance coverage, or ability to operate.

2.7 Act with integrity and professionalism in all interactions with clients, fellow members, and BADO.

2.8 Not engage in conduct that could reasonably be expected to bring BADO or its members into disrepute, including negligent operations, unlawful activity, or misrepresentation.

3. Relationship Between the Parties

3.1 Membership of BADO does not create an employment relationship, partnership, joint venture, or agency relationship between the member and BADO.

3.2 Members remain independent operators responsible for their own business decisions, tax obligations, and regulatory compliance.

3.3 Members have no authority to bind BADO or enter into contracts on its behalf.

3.4 When members undertake work secured through BADO, they do so as independent contractors providing services to the client at their own risk.

3.5 Members retain full responsibility for the quality, safety, and legality of their work.

4. Contract Assignments and Payment

4.1 BADO will communicate contract requirements, deliverables, timelines, and payment terms clearly to assigned members.

4.2 Members must confirm acceptance and availability promptly.

4.3 Payment for services will be distributed according to the terms communicated for each contract.

4.4 BADO may deduct administrative fees for coordination and support services. Such fees will be disclosed and agreed in advance.

4.5 Members must deliver services to the agreed standard and within specified timescales.

4.6 Failure to deliver contracted services or to act professionally may result in suspension or termination of membership.

5. Intellectual Property

5.1 Members retain ownership of all intellectual property they create in the course of their operations.

5.2 Copyright in photographs, videos, data, and other outputs created during contract work shall be governed by the terms agreed with the client.

5.3 BADO makes no claim to member-created intellectual property except as necessary to fulfil contractual obligations to clients. BADO may use freely such member-created intellectual property for the associations purpose whether commercial or other.

5.4 BADO may use member-created content for promotional purposes.

5.5 BADO may change the colour scheme of your logo to monochrome for design purposes. BADO will not alter your logo's design or branding elements.

6. Confidentiality

6.1 Members must maintain the confidentiality of client information, commercial terms, and sensitive information shared by BADO or through BADO-coordinated contracts.

6.2 Members must not disclose pricing structures, contract terms, or commercially sensitive information to third parties without prior written consent.

6.3 Members must respect the privacy and confidential information of fellow members in accordance with UK legislation.

6.4 Confidentiality obligations survive termination of membership for five (5) years.

7. Data Protection

7.1 BADO processes personal data in accordance with UK GDPR and the Data Protection Act 2018. Full details are provided in our Privacy Policy.

7.2 For the purposes of data protection legislation, BADO acts as a data controller for member information.

8. Termination of Membership

8.1 Members may resign at any time by providing written notice to info@bado.uk.

8.2 BADO may terminate membership for material breach of these terms, loss of required licences or insurance, conduct reasonably deemed harmful to BADO's reputation or other.

8.3 Upon termination, members must fulfil any outstanding contractual obligations already accepted.

8.4 The licence granted under "Use of Member Content" survives termination for materials already published, subject to the member's right to request removal from future use.

9. Limitation of Liability

9.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

9.2 To the fullest extent permitted by law, BADO's total liability to any member for any claim arising from or related to membership is limited to the fees (if any) paid by that member in the 12 months preceding the claim.

9.3 BADO is not liable for indirect, consequential, special, or punitive damages, including loss of profits, business opportunities, or reputation.

9.4 BADO does not guarantee the availability, volume, frequency, or value of contract opportunities.

10. Indemnity

10.1 To the fullest extent permitted by law, members agree to indemnify, defend, and hold harmless BADO, its directors, officers, employees, and agents from all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • their drone operations and services
  • breach of these terms
  • violation of law or regulation
  • claims of injury, death, or property damage
  • infringement of third-party rights

11. Amendment of Terms

11.1 BADO may amend these terms at any time. Members will be notified of material changes by email.

11.2 Continued membership following notification constitutes acceptance of the amended terms.

12. Dispute Resolution

12.1 Any dispute arising from or relating to these terms shall first be subject to good-faith negotiation between the parties.

12.2 If negotiation fails, the parties agree to attempt resolution through mediation.

12.3 If mediation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. General Provisions

13.1 These terms, together with the Privacy Policy and referenced policies, constitute the entire agreement between the member and BADO.

13.2 If any provision is found invalid or unenforceable, the remaining provisions remain in full force.

13.3 No waiver of any term constitutes a continuing waiver.

13.4 Members may not assign their membership or rights under these terms without BADO's written consent. BADO may assign these terms upon notice to members.

13.5 All notices must be in writing and sent to the addresses provided during registration or to info@bado.uk.

13.6 These terms are governed by the laws of England and Wales.
